Terms and conditions
Last updated 26 October 2026. Draft for review by a solicitor before use. Items in [square brackets] are to be completed.
1. About these terms
These terms apply to all cleaning, sanitising, disinfection and related services (the Services) supplied by [Unaclean legal entity name], registered in England and Wales, company number [number], of 66 Paul Street, London (Unaclean, we, us) to the customer named in our written proposal (the Client). They form the contract between us, together with the agreed specification and price. Any other terms the Client proposes do not apply unless we agree them in writing.
2. Site assessment and specification
Before the Services begin we carry out a site assessment and issue a written specification setting out rooms, risk categories, cleaning frequencies, methods and price. The Client must give accurate information about the premises, including any infection risks, vulnerable occupants, hazardous areas and sensitive equipment. We may revise the price if the premises or the information provided differ materially from what was assessed.
3. The Services
We will provide the Services with reasonable skill and care, using trained and enhanced DBS-checked personnel and products assessed under COSHH. Unless the specification says otherwise, the Services exclude the decontamination of reusable clinical instruments and the operation of clinical equipment, which remain the responsibility of the Client’s clinical team. We follow the Client’s infection prevention and control policy where it has been provided to us in writing.
4. Access and premises
The Client will provide safe, timely access to the premises, water, electricity and secure storage for equipment and chemicals. Where access is refused or delayed, we may charge for the visit as scheduled. The Client will tell us of any hazards, clinical sessions running late and areas that must not be entered.
5. Fees and payment
Fees are as stated in our proposal and are exclusive of VAT, which is added at the prevailing rate. We invoice [monthly in advance] and the Client will pay within [30] days of the invoice date by bank transfer. We may charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998. Prices may be reviewed annually on [30] days’ written notice.
6. Quality, audits and complaints
We monitor standards through supervisor inspections and keep records available to the Client on site. If the Client believes the Services fall below the agreed specification, it must tell us promptly in writing or by email. We will investigate and, where the shortfall is confirmed, re-perform the affected Services [within 24 hours] at no extra charge. This is without prejudice to the Client’s other rights.
7. Term and termination
The contract starts on the date in the proposal and continues for the initial term stated there. After that it renews until either party gives [three] months’ written notice. Either party may end the contract immediately by written notice if the other commits a material breach that is not remedied within 14 days of being asked, or becomes insolvent.
8. Health, safety and personnel
Each party will comply with the Health and Safety at Work etc. Act 1974 and related regulations. Our personnel will follow site rules notified to us. The Client will not directly employ or solicit our personnel during the contract and for [six] months afterwards without our written consent.
9. Confidentiality and data
Our personnel may work in areas where patient information is present. We treat all such information as confidential, do not copy or remove it, and will report any accidental exposure to the Client immediately. We process personal data in accordance with UK data protection law and our privacy notice.
10. Insurance and liability
We hold public liability and employer’s liability insurance of not less than [£amount]. Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud, or for anything that cannot lawfully be limited. Subject to that, our total liability arising from the contract in any contract year is limited to [the fees paid in that year or £amount], and we are not liable for indirect or consequential loss, or loss of profit or goodwill.
11. Events outside our control
Neither party is liable for delay or failure caused by events beyond its reasonable control, including severe weather, fire, flood, industrial action by third parties, epidemic or government restrictions. The affected party will notify the other and resume performance as soon as reasonably possible.
12. General
This is the entire agreement between us on its subject matter. Changes must be in writing and agreed by both parties. If any provision is found unenforceable, the rest continues in force. The contract is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
